Supplier Code of Conduct

This code of conduct outlines Gokin solar expectations and requirements for suppliers in terms of law-abiding behavior, labor protection and rights, occupational health and safety, environmental protection, etc. Gokin solar encourages suppliers to adopt internationally recognized industry standards and best practices, continuously enhance ESG practices, uphold the concept of sustainable development, embrace the diversity of the universe, and with a responsible attitude, defend and inherit the beauty of this "light", move steadily forward, and act with determination.


All suppliers of Gokin solar should abide by this code of conduct. Gokin solar will also assess from time to time the compliance of suppliers with this code of conduct. Any violation of this code of conduct may endanger the business cooperation between both parties, including the termination of the cooperation.


This code of conduct applies to suppliers who provide products and/or services to Gokin Solar Co., Ltd. and/or its subsidiaries and affiliated companies (collectively referred to as "Gokin").


1.Freedom of association and right to collective bargaining


In compliance with local regulations, the company upholds and respects the employees' right to freely establish and join labor unions as well as engage in collective bargaining


2.Discrimination


The company shall not engage in or support discrimination on the basis of race, social class, national origin, religion, physical disability, gender, sexual orientation, union membership, political affiliation or age in matters relating to employment, remuneration, training opportunities, promotion, dismissal or retirement.


3.Salary and compensation


The company shall ensure that wages during the standard working month meet at least the legal or industry minimum wage and meet the basic needs of employees, as well as provide some discretionary income and shall ensure that wages are not deducted for any disciplinary purpose.


4.Working hours


The company shall comply with local laws and industry standards regarding working hours and ensure that every employee has at least one day off after working six consecutive days. All overtime work must be voluntary.


5.Workplace health and safety


The company can guarantee the provision of safe and healthy working and living places and ensure that all employees can receive health and safety training.


6.No child labor


The company must not employ children who are under local regulations or who have not completed compulsory education in the state.


7.Prohibition of forced labor and disciplinary measures


The company shall not force employees to work, nor require employees to pay "deposits" or deposit identity documents during employment. The company shall not engage in or support corporal punishment, mental or physical coercion, or verbal abuse. For the whole or part of the goods (including the goods themselves, raw materials, etc.), the company promises that the exploitation, manufacturing or production does not involve any labor violations and that it and its supply chain comply with the laws, regulations and policy requirements regarding labor protection, export controls, and economic sanctions.


8.Environmental safety


The company complies with all national and local environmental laws and regulations to strengthen environmental protection and reduce environmental impact.


9.Human rights


The company shall respect internationally recognized rights of the person and shall not violate these rights in any way. The company must respect the human dignityprivacy and fundamental rights of every person.


10. Conflict Minerals and Supply Chain Traceability Management

10.1 Scope of Application

This clause applies to the following minerals used in the products supplied to Gokin Solar and in the production processes thereof:

Conflict Minerals: Gold (Au), Tantalum (Ta), Tungsten (W), Tin (Sn), Cobalt (Co), and Mica;

Supply Chain Traceable Minerals: Silicon (Si) and other semiconductor materials.

10.2 Conflict Region Control

(a) The Supplier shall ensure that it does not directly or indirectly source minerals from conflict-affected and high-risk areas that fund or benefit armed conflict or human rights abuses. High-risk areas include the Democratic Republic of the Congo and its neighboring countries, as well as other conflict-affected or high-risk mining areas designated by the United Nations Security Council and the European Union.

(b) The Supplier shall, with reference to the OECD Due Diligence Guidance for Responsible Supply Chains of Minerals from Conflict-Affected and High-Risk Areas, establish reasonable due diligence measures for mineral sourcing, give priority to procuring minerals produced by smelters/refineries certified under the RMI RMAP, and properly maintain records related to the procurement chain.

(c) The Supplier shall provide information and supporting documentation regarding mineral sourcing (such as CMRT, EMRT, etc.) upon reasonable request by Gokin.

10.3 SSI Compliance and Supply Chain Collaboration

(a) The Supplier commits to paying attention to and progressively meeting the SSI (Solar Stewardship Initiative) ESG standards and supply chain traceability requirements set by Gokin within its management system and ESG practices. Suppliers involving silicon materials shall actively promote the development of full-chain traceability capabilities.

(b) The Supplier shall communicate the above principles to its upstream suppliers to promote the improvement of overall compliance standards across the supply chain.

10.4 Communication and Improvement

(a) The Supplier shall establish internal communication channels to encourage employees and relevant stakeholders to raise concerns regarding mineral compliance, and shall give due attention to and address such concerns appropriately.

(b) In the event of any inconsistency with this clause discovered during the course of cooperation, both parties shall consult in good faith and jointly promote rectification within a reasonable timeframe. If consensus cannot be reached after multiple rounds of communication, Gokin reserves the right to adjust the cooperation arrangement.
